1. Agreement to Terms

By accessing and using ClientRunway ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily access and use the Service for personal or commercial use. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose without proper subscription
• Attempt to reverse engineer any software contained on the Service
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

3. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept all responsibility for all activities that occur under your account

4. Subscription Plans

ClientRunway offers multiple subscription tiers (Free, Starter, Professional, and Agency). Each plan has specific limits on projects, team members, and reviewers. By subscribing to a paid plan:

• You agree to pay the subscription fee for your selected plan
• Subscriptions automatically renew unless canceled before the renewal date
• Refunds are provided at our discretion on a case-by-case basis
• We reserve the right to change pricing with 30 days notice
• Downgrading your plan may result in loss of features or data

5. User Content

You retain all rights to the content you upload to ClientRunway. By uploading content, you grant us:

• A license to store, process, and display your content as necessary to provide the Service
• Permission to backup your content for disaster recovery purposes
• The right to remove content that violates these terms or applicable law

You are responsible for ensuring you have the necessary rights to any content you upload.

6. Prohibited Uses

You may not use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit malicious code, viruses, or harmful components
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal or unauthorized purpose
• Harass, abuse, or harm another person

7. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We reserve the right to:

• Modify or discontinue the Service with reasonable notice
• Perform scheduled maintenance with advance notification
• Suspend access for security or legal reasons

8. Disclaimer

The Service is provided "as is" without any warranties, expressed or implied. We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from use of the Service will be accurate or reliable

In no event shall ClientRunway be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which ClientRunway operates, without regard to its conflict of law provisions.
